Overview
In the role as Global Head of Legal Corporate & Group M&A in Deutsche Bank’s Legal Department, you will together with your team of highly experienced senior lawyers advise Deutsche Bank in all corporate legal matters regarding the structure of DB Group as well as its proprietary M&A activities. In addition, you and your team are responsible for all legal matters around the preparation and execution of DB’s shareholder meetings, legal questions raised by the Supervisory Board office or relating to legal relations with executives including remuneration related topics and compliance with InstVV. Legal advice with regard to capital market relations (capital transactions, share buybacks etc. as well as capital market communications) will as well be part of your book of work. Finally, the client services team regarding third party AGMs consisting of four non-lawyers and organizing the information flow to clients primarily in Germany, is managed within your team.
Deutsche Bank is the leading bank in Germany and a global financial institution headquartered in Frankfurt with material operations in branches and subsidiaries all around the world. The Bank’s activities are subject to extensive regulation by the ECB, BaFin, Bundesbank, but as well by the Federal Reserve Board, the New York State Department of Financial Services and other regulators.
You will provide advice on the Bank’s activities, transactions and investments in the perimeter described above on a global basis. In doing so, you will interact frequently with senior representatives of the Bank including MB and SB as well as other Infrastructure Functions, Treasury, the CEO office and the Corporate M&A department. You will coordinate within the Legal Department with the heads of other relevant function including Regulatory, Labor Law and business-related legal functions, as appropriate. You will also be expected to interact effectively with external lawyers and determine and negotiate the position of the Bank in transactions you are involved in. Of course, leading the team by example with legal expertise and judgement will be part of your role as well as mentoring and training junior members of the team or, as the case may be, the transaction team.
What You’ll Do
Provide strategic legal advice on corporate structuring, proprietary M&A transactions, and capital market activities including capital increases, share buybacks, and related disclosures
Prepare and coordinate the shareholder meetings of the Bank in all legal aspects and oversee all preparation steps with a view to practicability and legal safety
Advise on legal matters related to executive remuneration, and compliance with regulatory frameworks such as InstVV
Oversee legal aspects of the Bank’s relationships with senior executives and regulatory bodies including ECB, BaFin, Bundesbank, and international regulators
Manage legal support for capital market communications and investor relations
Lead – as the case may be in coordination with external counsel - the negotiation of Deutsche Bank’s legal position in complex transactions
Collaborate with internal stakeholders including the Management Board, Supervisory Board, Treasury, CEO Office, and Corporate M&A
Supervise the client services team responsible for third-party AGM support and ensure effective client communication
Monitor legal and regulatory developments and assess their impact on the Bank’s corporate legal strategy
How You’ll Lead
Lead a team of senior legal professionals, fostering a culture of excellence, collaboration, and continuous development
Serve as a trusted advisor to senior leadership across the Bank, providing expert guidance on corporate legal matters and strategic transactions
Represent Deutsche Bank in high-level legal negotiations and regulatory interactions, protecting the Bank’s interests and reputation
Mentor and develop junior team members, ensuring knowledge transfer and professional growth
Promote cross-functional collaboration within the Legal Department and with other infrastructure functions to ensure cohesive legal risk management
Skills You’ll Need
Fully qualified German lawyer (ideally with distinguished exams)
Broad understanding of corporate law (with a special focus on stock corporation law) primarily in Germany and experience in structuring and negotiating big ticket M&A transactions
Extensive relevant experience at a well-respected law firm and/or in a major corporate legal department in Germany
Ability to identify and appropriately weigh risk and reputational and commercial issues in solving sophisticated legal problems
