    Rolls-Royce Canada Limited (“RRCL”) is currently looking for a qualified candidate to fill the role of Corporate Paralegal, Governance and Compliance for its Montreal office. The position works under the RRCL senior leadership team as well as a U.S. based attorney to support the delivery of a wide range of quality legal services to internal clients and to manage a global litigation portfolio through direct interaction with external counsel and third parties. Under the general direction of the U.S. attorney, this position is responsible for a wide variety of legal and administrative tasks within employment law, litigation, intellectual property, corporate law, and environmental law, all in an agile, fast-paced work environment.

    Key Accountabilities:

    • Implement and manage litigation preparation process by maintaining a record of legal and policy documentation, reviewing certificates and correspondence received from third parties providing corporate information to cross-functional teams, drafting corporate actions and agreements for attorney review, and distributing agreements for signature.

    • Provides legal information, research, and expertise to senior managers and various cross-functional teams (specifically HR/Labor Relations, Immigration and Export Controls) in appropriately managing risk, and supports the needs of the various businesses and company initiatives.

    • Supports multiple teams within the finance department including tax with statutory filings and compliance, and internal accounting and external accounting firms.

    • Prepare first drafts of responses to third-party subpoenas and other requests for information under the supervision of legal counsel.

    • Prepare first drafts of employment-related agreements, corporate resolutions, and other routine documents from templates or previously existing drafts.

    • Prepare documentation and provide support for board meetings.

    • Maintaining corporate database and records, organizing and filing legal documents, drafting correspondence, preparation of project binders and managing legal documents within the legal records and databases. Maintain a litigation management system capable of organizing a large number of cases filed in domestic and foreign jurisdictions.

    • Coordination of travel visas and work permits applications.

    Basic Qualifications:

    • Paralegal Technology Degree and minimum 10 years of corporate paralegal or related experience with a law firm, aerospace company, technology company, or publicly traded company OR

    • Bachelor’s degree or equivalent college degree and minimum of 6 years of corporate paralegal or related experience with a law firm, aerospace company, technology company, or publicly traded company

    • Fully bilingual in French and English, written as well as spoken

    • Must be Canadian citizen or permanent resident of Canada

    Preferred Qualifications:

    • Law degree

    • Experience supporting multinational companies with international business operations

    • Experience managing day-to-day corporate and compliance activities and policies

    • Exceptional written and oral communication skills and the ability to effectively communicate and interact with senior management

    • Experience drafting contracts, contract amendments and related documents

    • Experience drafting notices, minutes and documents related to corporate board meetings

    • Attention to detail and excellent organizational and problem-solving skills

    • Ability to work well under pressure, handle multiple time sensitive obligations

    • Highly skilled in MS Office software (Word, Excel, Outlook, PowerPoint, etc.) and able to adapt quickly to new technologies deployed across the company

    • Discretion handling confidential information
